1. Scope of Services
At SHPHD PTY LTD, we bring extensive qualifications, experience, and industry expertise to help businesses achieve their goals. While we aim to reduce risks and enhance the likelihood of success, it is important to acknowledge:
Reasonable Understanding:
• Business involves inherent risks, external variables, and unpredictable market conditions beyond anyone’s control.
• SHPHD PTY LTD cannot guarantee or be held liable for:
• Public, market, or third-party reactions to marketing or promotional efforts.
• Your business’s financial performance, profitability, or other outcomes.
Your Business Responsibilities:
As the legal representative of your business, you retain full accountability for all decisions, operations, and outcomes. Engaging SHPHD PTY LTD is a prudent step toward reducing risks and improving strategies, but ultimate responsibility remains with you.
2. Subscription Service Terms
Our subscription services offer an affordable, ongoing arrangement compared to one-time projects, ensuring consistent value for your business.
• Commitment Period: Subscriptions typically require a minimum six (6)-month commitment to allow sufficient time for results and maintain the affordability of the arrangement.
• Affordable Pricing: These services are structured to provide long-term benefits at reduced costs compared to ad hoc or one-off projects.
3. Payment and Cancellation
• Payment Terms: Payment must be made according to the agreed schedule to ensure uninterrupted service.
• Right to Cancel: SHPHD PTY LTD reserves the right to cancel any membership, subscription, or payment arrangement at its sole discretion for reasons including:
• Non-compliance with this Agreement.
• Failure to make timely payments.
• Any other reasonable grounds.
• Refund Policy: Payments are non-refundable unless otherwise required by applicable law.
4. Ad Spend and Hard Costs
Unless otherwise agreed upon in writing, the following costs are separate from our service fees and must be accounted for within your budget:
• Advertising Spend: Costs related to ad campaigns on platforms such as Google Ads, Facebook, Instagram, LinkedIn, or similar are billed directly by the platform and are not included in our fees.
• Hard Costs: Expenses such as domain registration, website hosting, third-party software, plugins, or other tools required for your business operations.
If agreed upon, these costs will be explicitly outlined in your budget or proposal.
5. Pause of Subscription
At our sole discretion, SHPHD PTY LTD may pause your subscription temporarily if deemed necessary. Such a pause should be requested in writing with reasonable notice to act and may include reasons such as operational requirements, mutual agreement, or other reasonable circumstances. Paused periods will not count toward your minimum commitment period.
6. Limitation of Liability
While SHPHD PTY LTD is committed to delivering exceptional service, you agree that:
• SHPHD PTY LTD is not responsible for external factors impacting the success or performance of your business or marketing campaigns.
• Our liability is limited to the amount you paid for our services and does not extend to indirect, consequential, or reputational damages.
7. Confidentiality and Intellectual Property
• Confidentiality: Both parties agree to protect sensitive and confidential information shared during the engagement.
• Intellectual Property: Any materials or strategies created by SHPHD PTY LTD remain our property unless explicitly transferred to you upon full payment.
8. Agreement Modifications
SHPHD PTY LTD reserves the right to update this Agreement from time to time. Updates will take effect immediately upon posting on https://www.shphd.com.
9. Acceptance of Terms
By completing payment, you acknowledge that you have read, understood, and agreed to the terms outlined in this Agreement.
